Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and your organization ("Customer," "you") and SkillVault AI, a product of CM Tech Software ("SkillVault," "we," "us"), governing your access to and use of the SkillVault website and platform (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
1. Eligibility & accounts
The Service is for business use. You must be at least 18 and have authority to bind your organization to these Terms. You are responsible for your account credentials, for activity under your account, and for keeping your contact and billing information current.
2. Free trial, subscriptions & billing
- Trials. We offer a 14-day free trial. If you start a trial through Stripe Checkout, your payment method is collected up front and the trial runs for 14 days; you are not charged until day 15, when your selected plan begins automatically. You can cancel any time during the trial to avoid charges. A no-card trial option is also available at signup.
- Auto-renewal. Paid plans are billed in advance on a recurring monthly or annual basis through Stripe and renew automatically until cancelled. By subscribing you authorize these recurring charges. We disclose the price, billing interval, and renewal terms before you pay.
- Cancellation. You may cancel any time from your billing settings; cancellation takes effect at the end of the current billing period and stops future renewals.
- Refunds. Charges are non-refundable and we do not refund partial periods, except where required by law or where the issue is our fault — contact support@skillvaultai.io and we'll make it right.
- Taxes & price changes. Fees are exclusive of taxes, which you are responsible for. We may change prices with at least 30 days' notice before your next renewal.
- Invoices / purchase orders. Where we agree to invoice you (e.g., against a PO), payment is due per the invoice terms.
3. Customer Data & your responsibilities
You retain all ownership of the workforce data and content you upload ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service. You are responsible for:
- having the legal right and any necessary notices, consents, or lawful basis to upload and process the employee and other personal data you put into the Service;
- complying with employment, privacy, and other laws applicable to your data and use; and
- not uploading protected health information unless you have first executed a Business Associate Agreement with us, and not uploading data you have no right to use.
Our processing of Customer Data is further described in our Privacy Policy; a Data Processing Addendum is available on request and, once executed, is incorporated into these Terms.
4. Acceptable use
You agree not to: access another organization's data; reverse-engineer, scrape, or disrupt the Service; upload malware or unlawful content; resell the Service without authorization; or use the Service to violate any law or third-party right. We may suspend access to protect the Service or other customers, or for non-payment, with notice where practicable.
5. AI features
AI Insights are optional and provided for informational purposes only. AI output may be inaccurate or incomplete and is not professional, legal, or compliance advice — verify before relying on it. When you run an AI analysis, relevant data is sent to the AI provider you select; those providers do not train their models on data submitted through their APIs.
6. Service availability & changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify or discontinue features; for material adverse changes to a paid feature you rely on, we will provide reasonable notice.
7. Warranties & disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim.
9. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data or your use of the Service in breach of these Terms or applicable law.
10. Term, termination & data export
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. You may export your data from the app before termination; after termination we delete or anonymize Customer Data as described in the Privacy Policy.
11. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.
12. Changes to these Terms
We may update these Terms. We will post the revised version with a new "Last updated" date and, for material changes, provide notice through the Service or by email. Continued use after the effective date constitutes acceptance.
13. Governing law & disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Washoe County, Nevada, and the parties consent to that jurisdiction.
14. Miscellaneous
These Terms (with the Privacy Policy and any DPA/BAA) are the entire agreement between the parties. If any provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale; you may not assign without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
